SEC nag-isyu ng ‘cease & desist’ order laban sa Superbreakthrough Enterprise, Juluis Allan Nolasco

PINATITIGIL ng Securities and Exchange Commission (SEC) sa Superbreaktrough Enterprise Corporation ang pangangalap ng puhunan mula sa publiko ng walang kaukulang lisensiya.

Ang pangangalap ng puhunan ay ginagawa sa ilalim ng kumpanyang 1UP Time ng isang Julius Allan Nolasco.

Sa inilabas na pahayag, kinumpirma ng SEC ang utos ng Commission en banc sa Superbreaktrough na itigil na ang ginagawang solicitation ng investment.

“The Commission en banc directed the company to immediately cease and desist from further engaging in the unlawful solicitation, offer, and/or sale of securities in the form of investment contracts without the necessary license from the SEC,” ang pahayag ng komisyon.

Base sa mga impormasyon na kumakalat sa social media networking sites ang 1UP Time ang nagbebenta ng investment packages ng mga  cosmetics, health and wellness at personal care products.

Ibinebenta ang mga ito sa socmed platforms tulad ng YouTube at Facebook.

“The Commission also prohibited the company from transacting any business involving funds in its depository banks, and from transferring, disposing, or conveying  any related assets to ensure the preservation of the assets to ensure the preservation of the assets of its investors,” sabi pa ng SEC.

Ipinatitigil na rin sa 1UP Time ang presensiya sa “cyber world” kaugnay sa inaalok na investment scheme.
Paliwanag din ng SEC ang pangangalap ng puhunan sa Pilipinas ng walang aprubadong rehistrasyon ay maituturing na paglabag sa Section 8 ng RA 8799 o ang Securities Regulation Code.

Nilinaw din na ang Superbreaktrough Enterprise ay nakarehistro bilang korporasyon at wala itong permiso na mag-alok at magbenta ng “securities” sa publiko.

Wala rin itong kapangyarihan na mangalap at tumanggap ng puhunan mula sa publiko.

Inilabas ang “cease and desist” order base sa pagsubaybay sa mga aktibidad ng mga kompaniya sa ilalim ni Nolasco.

“Mr. Nolasco has previously been the subject of a cease and desist order for his promotion of illegal investment activities through Alphanetworld Corp, o NWorld.

“The order was issued following the continued monitoring activities of the SEC Enforcement and Investor Protection Deparment over NWorld and Mr. Nolasco which led to the discovery of the operations of Superbreaktrough Enterprises,” ayon pa sa kautusan.

Nabatid na ang packages ay mula P10,000 hanggang P188,000 na ang interes ay mula 25% hanggang 35% na halaga ng diskuwento sa mga produkto, recruitment bonuses at iba pang insentibo.

Wala pang tugon si Nolasco sa hinihinging paglilinaw niya sa pamamagitan ng kanyang Facebook account.
